    This course looks at how non-disclosure agreements (NDAs) actually work in commercial relationships. Rather than clause-by-clause drafting, the focus is on judgment. When an NDA adds value, what it realistically protects, and where its limits lie.

    The aim is more conscious use of NDAs. Participants leave with a better understanding of when an NDA may be appropriate, common misunderstandings, and how legal protection interacts with commercial reality and risk allocation.

    The course is based on practical experience from international contract management, and draws on how confidential information is handled in procurement, sales and partnership settings rather than on legal theory.

    The course is built around a simple idea: an NDA should be a conscious and informed choice, not merely a standard document in a contract process.

    • When an NDA adds value, and when it does not.
    • How NDAs are used in practice in commercial relationships.
    • Common misunderstandings and the risks they create.
    • Practical and commercial risks in confidentiality arrangements.
    • The limits of NDAs, including what they cannot realistically prevent.
    • Mutual and unilateral arrangements, and key terminology in brief.
    • Situations where other agreement types are more appropriate.
    • How experienced professionals approach confidentiality in day-to-day work.

    Target group

    Professionals involved in procurement, sales, business development, partnerships, projects, R&D and other activities that involve the exchange of confidential information. No legal background is required.
